1. Scope of Autonomous Services
This Master Services Agreement ("MSA") governs all software architectures, AI agent deployments, autonomous workflows, and cloud provisioning delivered by PixelWave AI Solutions (Pvt) Ltd ("Provider") to the designated corporate entity ("Client").
2. Intellectual Property Rights & Ownership
Full Assignment upon Solvency: Upon final milestone sign-off and Escrow release, 100% of custom-developed workflows, prompt embeddings, database schemas, frontend interfaces, and operational scripts become the exclusive intellectual property of the Client.
PixelWave retains zero proprietary claim on Client operational data, training weights, or customer interaction logs.
3. Data Confidentiality & Zero-Training Guarantees
Provider contractually covenants that no confidential client financial data, customer identities, or proprietary trade secrets shall ever be exposed to public artificial intelligence models or utilized for multi-tenant machine learning.
4. Escrow & Phased Milestone Protection
All enterprise transformation sprints are protected under a structured 50% / 30% / 20% milestone schedule managed via the secure Client Operations Portal (`portal.pixelwave.lk`).
